AmeriRes Account Agreement for Property Owners and Management Companies
Warning: Alteration of information to the following agreement is strictly prohibited.
Note: Throughout this document AmeriRes has been referred to as a website of IGCI Inc. AmeriRes is represented by IGCI Inc. and all rights and responsibilities related to AmeriRes are directly related to IGCI Inc. AmeriRes.com, 123Stay.com and LodgeRes.com are websites of IGCI Inc.
SERVICE CHARGES
1. No money is due when you signup. You may cancel services any time during your stay with AmeriRes. If you signup on yearly payment plan and terminate your service, we'll pro-rate your stay with us at monthly rate.
Your payment depends on the payment plan you choose. If you're paying commission, our commission should reach us within 30 days of checkout date of each visitor's stay at 10% rate. If you're on monthly or yearly pay plan then we'll charge your credit card for first three months of service charge in advance for monthly plans and one year of service charge in advance for yearly pay plans. Unless offered through special promotion anouncements, current service charge is US$14.95 per month for monthly payment plans and US$149.99 for yearly payment plans. Service charges may change without any notice and will be reflected on the activation page and can be viewed by clicking on the ''Site Activation'' link. If in any unlikely event that the service fees are raised, you will be notified via email well in advance of any such increase.
2. If you select to receive fax reservation and your property is on a monthly or yearly payment plan, additional fax charges will apply if you choose to receive reservations via fax. you'll be billed for fax charges monthly. If we have payment information on file, we'll charge your credit card and notify you. Typical time for faxing a reservation on one page is 1 minute. Fax rates can be viewed at http://www.amerires.com/admin/faxrates.asp. We may delay charging you for outstanding fax reservation if the accumulated charges are below US$10.00 and Amerires reserves all rights to charge you for fax reservation whenever it is deemed necessary. You may choose to receive reservations via email only in which case no fax charges will apply. Accounts that are on commission payment plan may receive fax reservations without any additional charges.
3. If you need our assistance with Image scanning and loading, we'll gladly help you for US$25.00 per image (Non-refundable).
4. Setting up your website is free with our automated design manager, we'll assist you in every way to setup your web site. If you do not like our pre-designed templates then we can design a custom website for you for US$55.00 per hour.
SERVICES YOU WILL RECEIVE
For the above mentioned fees you will receive the following services from AmeriRes:
1. Listing of your property on AmeriRes lodging reservation system. Multiple properties may be listed under one user account with different payment plans.
2. Right to use our Information Administrator, Dynamic Web Site Manager to display your web site, Reservation System and pre-designed templates for your site for the duration of your stay.
3. Right to use information of your property via AmeriRes global XML data server. You must send all reservation requests to http://www.AmeriRes.com/dtCheck.asp?PID=your_property_identification. All xml data requests are logged and reviewed regularly. Any property not adhering to this rule will be taken off of our list or de-activated.
4. Fax reservation (You pay for fax charges for monthly and yearly payment plans).
5. Technical Support and Trouble Shooting.
6. Shared Secured Reservation.
7. Visibility and reservation of your property through www.AmeriRes.com, www.123Stay.com and www.LodgeRes.com.
REFUNDS
All future monthly charges are refundable. For example, if you want to discontinue our services from the month of February, you must notify us before February begins. No refund will be issued for the current month. If you're on yearly payment plan then charges for the past months will be calculated basing on monthly rates and all unused portion will be refunded promptly in the manner it was received.
TERMS AND CONDITIONS
By agreeing to signup with AmeriRes global Reservation System via www.amerires.com, 123stay.com, lodgeres.com or any other partner site, you signify your agreement to the terms, conditions and notices of this policy. Violating any of the following policies grants AmeriRes the authority to take action to restrict or terminate your access to AmeriRes' Services. We reserve the right, at our discretion, to update or revise this policy, any other policy or statement on any AmeriRes website, and any product offerings or programs described on any AmeriRes' website. Please check back periodically to review any changes to this policy.
1. You agree to pay all charges and fees in due time.
2. IGCI Inc. through AmeriRes will forward all reservations to your designated fax number and will let you access these information via the ''Reservation Manger'' in property administration. Reservations may contain customer Credit Card information. You agree to use the Credit Card information provided for the purpose of the reservation only and keep all information in strict confidence.
3. IGCI Inc. through AmeriRes will collect Credit Card information from you for billing purpose. All information is kept on file in encrypted format, however, due to vulnarability of information to information hackers, your information may be compromised. AmeriRes will make it's best effort to notify you as soon such an incidence occurs. You agree not to hold AmeriRes or IGCI Inc. responsible for such compromise and in no event shall IGCI Inc. or AmeriRes (or any persons or entities related thereto) be liable for any special, indirect, or consequential damages associated with or arising from such compromise.
4. AmeriRes heavily depends on the Internet, Technology, Computer Equipments, Software and other Networking components. AmeriRes will make it's best effort to provide a smooth operation of software components but assumes no responsibility for missed reservations, cancellations, modifications and network down time. The software portion is developed by AmeriRes and may contain human errors. AmeriRes will make it's best efforts to rectify any known problems promptly upon receipt of formal complaints from clients or upon discovery of any problem(s) by AmeriRes. You agree not to hold AmeriRes or IGCI Inc. responsible for any such error and in no event shall IGCI Inc. or AmeriRes (or any persons or entities related thereto) be liable for any special, indirect, or consequential damages associated with or arising from any such error.
5. AmeriRes disclaims, to the maximum extent permitted by law, all warranties, representations or other endorsements, express or implied, with regard to the information accessed from, or through, this service, the systems which provide it and the Internet, including all warranties of merchantability or fitness for a particular use, or non-infringement of any third-party rights. AmeriRes does not assume any liability for the completeness, accuracy or usefulness of any information disclosed or materials accessed. In no event shall AmeriRes (or any persons or entities related thereto) be liable for any special, indirect, or consequential damages associated with or arising from use of this service in any way, including any loss of use, data or profits, regardless of the form of action.
6. You must use this site and the AmeriRes' Services in accordance with the terms of this policy and in accordance with all federal, state and local laws, ordinances, and regulations.
7. In order to maintain an informative and valuable service that meets the needs of the users of this site and AmeriRes' Services, the following rules have been established to protect against abuse.
8. Use of this site or the AmeriRes' Services for any purpose that is unlawful or in any manner which could damage, disable, overburden or impair the operation of this site, or AmeriRes' Services or any other party's use or enjoyment of this site or AmeriRes' Services, is strictly prohibited.
YOU AGREE NOT TO:
a. Attempt to use or gain unauthorized access to data, accounts, hosts, systems or networks of this site, or to probe, scan or test the vulnerability of a system or network of this site, any AmeriRes' Services or those of any other party;
b. Interfere with service to any user, host or network including, without limitation, mail-bombing, flooding, and attempting to deliberately overload the system;
c. Use this site or AmeriRes' Services to engage in activities that violate any terms or conditions of any other network access provider or Internet service provider.
Additionally, you may not, by use of any AmeriRes' Service or another service, upload, post or otherwise distribute or facilitate distribution of any content, including text, communications, software, images, sounds, data, or other information that:
i. Is unlawful, threatening, abusive, harassing, libelous, defamatory, obscene, deceptive, fraudulent, invasive of another's privacy, tortures, pornographic or inaccurate except for presenting relevant information for naked resorts;
ii. Constitutes unsolicited duplicative e-mail (commercial or otherwise);
iii. This prohibition extends to the sending of unsolicited mass e-mailings from another service which in any way implicates the use of this site or AmeriRes' Services, AmeriRes' equipment or any AmeriRes' e-mail address. A communication is unsolicited if it is posted in violation of a newsgroup charter, or if it is sent to a recipient who has not requested receipt of communications.
iv. Contains viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer. AmeriRes reserves the right to monitor content on this site and AmeriRes' Services and to remove content which AmeriRes, in its sole discretion, determines to be harmful, offensive, or otherwise in violation of this Acceptable Use Policy and may remove or deactivate property or sites without any explanation.
HOSTING SERVICES
AmeriRes uses third party hosting services for hosting of all domains. It is in our best interest to find a suitable hosting service provider that provides un-interrupted service. If AmeriRes and/or it's clients do not receive optimal service from it's hosting service provider(s), AmeriRes reserves the right to move all accounts and domains to an another service provider, in which case, a temporary interuption in service may occur.
LIMITED LIABILITY
The total liability AmeriRes assumes with any account holder is one full month's of service fee (currently US$14.95). Should a discrepancy or unsatisfactory relationship arise between AmeriRes and you, you'll be entitled to a maximum of your one full month's of service fee. AmeriRes may choose not to serve any client at it's own discretion.
INTELLECTUAL PROPERTY RIGHTS
You acknowledge and agree that copyrights, trademarks, service marks, patents, trade secrets, and other proprietary rights and laws protect all content and materials available on this site. Nothing on any AmeriRes' website shall be interpreted or implied in such a way as conferring any license or right to any intellectual property rights or license to any intellectual property, content, technology, system, process, or related material belonging to AmeriRes' by virtue of it being displayed or made accessible on any AmeriRes' website or property's web page. Except as expressly authorized by AmeriRes', you agree not to use this site or the AmeriRes' Services in any manner that would infringe, violate, dilute or misappropriate any such rights, with respect to any material, which you access or receive through this site or the AmeriRes' Services.
The AmeriRes' name, AmeriRes' design logo, other related names, design marks, product names, feature names and related logos are trademarks of IGCI Inc., and may only be used with the express written permission of IGCI Inc. IGCI claims copyright interests in all original content or works provided by AmeriRes on the AmeriRes website that is accessible via www.AmeriRes.com, www.LodgeRes.com, www.123Stay.com and other partner website bearing IGCI Inc. copyright notice. If any pages, information or content is copied, it may only be copied for non-commercial uses and AmeriRes shall, in any event, retain all copyright and other proprietary interests therein.
If you use a domain name in connection with the AmeriRes' web hosting, or any other webhosting service, you must not use that domain name in violation of any trademark, service mark, or similar rights of any third party.
USER'S GRANT OF LIMITED LICENSE
By posting or submitting content to any AmeriRes' website, you:
Grant AmeriRes' the right to use, reproduce, display, adapt, modify, distribute and have distributed the content in any form, anywhere and for any purpose; and,
Warrant and represent that you own or otherwise control all of the rights to the content and that public posting and use of your content by AmeriRes' will not infringe or violate the rights of any third party.
EXCLUSION OF COUNTRIES
Your property or service MAY NOT, directly or indirectly belong to any of the following countries: Afganistan, Iran, Iraq, Syria, Sudan, Libya, Columbia, Cuba or any other country that is under trade embargoe by any of the United States' Government agencies. AmeriRes reserves the right to revise this list any time and exclude any client situated in a country on the revised list of excluded countries. In such event, the property will be excluded from showing up on any search on the reservation system.
